Se configura el sistema con una serie de normas de resguardo, sobre las que nos hemos expedido recientemente3 y ahora ampliaremos, matizadas por la Ley de Emergencia Económica que se acaba de promulgar –ley 27541 particularmente en su art. 59-, que suspende por un año la causal de disolución por pérdida del capital social, que nunca imponía la liquidación sino que alteraba el sistema de responsabilidad por la eventualidad de daños. Palabras claves: Sociedad – Normas imperativas – Crisis – Emergencia. Abstract: The interaction between the imperative norms with the autonomy of the will is analyzed. The system is configured with a series of safeguard regulations, on which we have recently issued and will now expand, nuanced by the Economic Emergency Law that has just been enacted - Law 27541, particularly in its art. 59-, which suspends for one year the grounds for dissolution due to loss of share capital, which never imposed liquidation but altered the liability system for eventual damages.
